Terms of Service

Terms & Conditions

These Terms & Conditions explain the general terms that apply when you use Sherrlinn Network’s website, purchase services, place orders or engage Sherrlinn Network to provide digital or technology services.

Last updated: 22 October 2026

Important: These terms are written in plain English to explain our general business arrangements. They are not a substitute for formal legal advice, and specific quotations, proposals or written agreements may contain additional terms for a particular service.

1. About Sherrlinn Network and these terms

Sherrlinn Network is a South African digital-services business providing services that may include Website Design, Website Redesign, E-commerce Website Design, Branding & Creative, Digital Marketing, SEO, Google Ads, Social Media Marketing, Web Hosting, Website Care, IT Support, Computer Repair and Business Email. We are a South African company serving businesses globally.

These terms apply when you use our website, submit an enquiry, accept a quotation or proposal, place an order, purchase hosting or another service, or use the Sherrlinn Client Portal. For paid services, acceptance may also occur through quotation approval, payment, checkout acceptance or another written agreement.

References to “Sherrlinn Network”, “we”, “us” or “our” mean the business providing the relevant service. “Client”, “customer”, “you” or “your” means the person or organisation using the website or purchasing or receiving a service.

2. Quotations, proposals and service scope

A quotation, proposal, order description or written agreement defines the specific scope, deliverables, package, price and timing for a service. Work outside that approved scope may be quoted separately.

  • Project timelines depend on receiving requested content, access, approvals and feedback on time.
  • Revision allowances depend on the relevant package or quotation.
  • Changes beyond included revisions may incur additional charges.
  • Custom development, new functionality, extra content, migrations or other additional services are not automatically included.
Project-specific terms: If a written quotation or agreement contains terms that differ from these general terms for a particular project, the project-specific written terms should govern that particular scope where appropriate.

3. Fees, deposits and payment

Prices and payment terms are confirmed in the relevant quotation, proposal, order form or invoice. Project work may require an upfront deposit before work begins. Sherrlinn Network has historically commonly used a 50% deposit for project work, but this does not mean that every product or service requires a 50% deposit.

Project-specific payment terms are confirmed in the relevant quotation, proposal or invoice. The remaining balance is payable according to those terms. Where reasonably appropriate, services, files, access, transfer or launch may be withheld until required payments have been received.

Third-party costs, licences, domains, advertising spend, paid extensions, specialist services, travel, hardware or other external charges are separate unless explicitly included in writing. All amounts and applicable taxes will be shown in the relevant quotation, order or invoice.

4. Recurring services and subscriptions

Some services are recurring, including web hosting, website maintenance, support plans, marketing retainers and other subscriptions. The applicable billing cycle is displayed at purchase or confirmed in a quotation or proposal.

  • Recurring services renew according to the selected or agreed billing cycle.
  • You are responsible for keeping billing and contact information current.
  • Renewal depends on payment being received when due.
  • Third-party fees and licence charges may change independently of Sherrlinn Network.

Any automatic payment or renewal mechanism will depend on the selected payment method and the service configuration. These terms do not state that every recurring service is automatically charged.

5. Web hosting

Hosting plans are provided subject to their stated storage, website, email, database and other resource limits. DirectAdmin access may be provided where applicable. AutoSSL may be available through the hosting environment, but certificate issue, renewal and compatibility can depend on domain, DNS and infrastructure conditions.

Clients are responsible for safeguarding hosting and control-panel credentials and using resources lawfully and reasonably. Plans may need to be upgraded when resource use exceeds the applicable limits or affects the hosting environment.

Hosting, infrastructure, software and networks may occasionally be affected by maintenance, faults, attacks, upstream-provider issues or other events. Sherrlinn Network does not promise guaranteed daily backups, 99.9% uptime, 24/7 support, unlimited resources or absolute data recovery unless a specific written service agreement expressly provides otherwise.

Clients should maintain independent copies of important website files, databases, email and business information where appropriate.

6. Overdue accounts, suspension and termination

Invoices should be paid by the due date shown. We aim to communicate reasonably about overdue amounts before taking service action.

Unless otherwise agreed or required by applicable law, overdue services may be suspended after 7 days and may be terminated after 30 days of continued non-payment.

Restoration may depend on full payment, payment of any applicable restoration costs, and the technical availability of data, domains, accounts or infrastructure. Restoration cannot always be guaranteed after termination or deletion.

7. Domain names

Domain availability cannot be guaranteed until registration has succeeded. Registration, transfer and renewal fees may vary, and registry or registrar rules also apply.

  • You must provide accurate registrant and contact information.
  • You are responsible for responding to verification or renewal notices where required.
  • Failure to renew a domain may result in expiry, suspension or loss.
  • Redemption, recovery or restoration fees may apply after expiry.
  • Sherrlinn Network cannot guarantee recovery of an expired domain.

Where a domain is registered for a client, ownership and registrant arrangements should reflect the applicable order or agreement. We do not claim ownership of a client domain merely because we assisted with registration or management.

8. Website, e-commerce and creative projects

Clients must provide the content, information, feedback, approvals and system access reasonably required to perform the work. Delays in receiving these items may affect delivery dates.

Revision limits depend on the chosen package or quotation. Major direction changes, additional pages, custom integrations, extensive product uploads, extra design work or new functionality may be quoted separately.

Third-party themes, plugins, fonts, stock assets, payment services and other tools may have separate terms, subscriptions or licence requirements. Compatibility, platform support and functionality can change over time.

9. Client-supplied content and permissions

You confirm that you have the right to supply and authorise the use of logos, images, text, trademarks, documents, media, product information and other materials provided for a project.

You remain responsible for the accuracy, lawfulness and required permissions for client-supplied materials. To the extent permitted by law, Sherrlinn Network should not be responsible for infringement caused by client-supplied material where we had no reasonable knowledge of the issue.

We may decline or remove content that appears unlawful, harmful, misleading or inconsistent with applicable platform or hosting rules.

10. Ownership, access and intellectual property

Ownership and access arrangements for custom deliverables depend on the relevant quotation, licence terms and payment status. Once agreed financial obligations are satisfied, clients should receive the website, domain, hosting or other access expressly included in the agreed scope where applicable.

Sherrlinn Network retains ownership of its reusable know-how, methods, systems, tools, frameworks, templates and pre-existing materials. Licensed third-party components remain subject to their respective owners’ terms.

Unless otherwise agreed, no provision transfers ownership of third-party software, subscriptions, themes, plugins, fonts or platforms. Portfolio use, source-file delivery and transfer arrangements may be addressed in the project-specific agreement.

11. Third-party platforms and providers

Our services may rely on WordPress, plugins, themes, domain registrars, payment providers, Microsoft 365, advertising platforms, social networks, hosting infrastructure and other third-party services.

Those providers control their own availability, pricing, policies, security, approvals and technical decisions. Sherrlinn Network cannot control third-party outages, platform changes, licence changes, account restrictions or service discontinuation. Their terms and privacy practices may also apply.

12. Digital marketing, advertising and SEO

SEO, advertising, content and social-media services aim to improve visibility, reach, engagement or performance against agreed objectives. Results depend on competition, market conditions, budgets, website quality, platform decisions, customer behaviour and many other factors outside Sherrlinn Network’s control.

No guaranteed results: We do not guarantee rankings, enquiries, leads, sales, conversions, return on advertising spend or revenue.

Advertising and media spend are separate from management fees unless expressly included in writing. Platforms such as Google and Meta may approve, reject, restrict or suspend campaigns or accounts under their own policies.

13. IT support, computer repair and technical assistance

Technical-support and repair outcomes vary according to the condition of the device, software, data, network, access and underlying fault. Parts, licences, specialist repairs, travel and work beyond the agreed allowance may be charged separately.

Remote support requires suitable access and permission. Clients should maintain backups before repair, troubleshooting, upgrades or configuration work where practical. Sherrlinn Network cannot guarantee that every fault can be repaired or that lost, corrupted or damaged data can be recovered.

14. Client responsibilities

Clients are expected to:

  • provide accurate information and current contact details;
  • provide requested access, content, approvals and feedback promptly;
  • safeguard passwords, credentials and account access;
  • use services lawfully and in accordance with third-party terms;
  • review deliverables and respond to questions where necessary;
  • maintain independent backups where appropriate; and
  • notify Sherrlinn Network promptly of suspected unauthorised access or material errors.

15. Acceptable use

Hosting, email, websites and technology services must not be used for illegal activity, malware distribution, phishing, unsolicited spam, unauthorised system access, deliberate network abuse, infringement of third-party rights or activity that materially harms other users or infrastructure.

We may restrict or suspend affected services when reasonably necessary to protect systems, other customers, third parties or legal compliance. Where practical, we will communicate the reason and required corrective action.

16. Security, backups and data loss

Sherrlinn Network applies reasonable security and maintenance practices appropriate to the service. However, websites, hosting, email and other internet-based systems cannot be guaranteed never to experience attacks, malware, outages, vulnerabilities or third-party compromise.

Backups may exist depending on the service, package and infrastructure. Backup availability, frequency and retention are not guaranteed unless specifically included in a written service agreement. Clients should maintain independent backups of important business information.

Recovery may not always be possible, particularly following corruption, deletion, expiry, compromise, hardware failure or prolonged non-payment.

17. Cancellation and refunds

Cancellation rules depend on the service type. For recurring services, cancellation should be requested before the next billing period where applicable. Project work already completed, time already incurred and committed third-party costs may remain payable.

Deposits are handled according to the relevant quotation or agreement, the work already performed and applicable law. These terms do not create an absolute rule that every deposit is non-refundable.

Refund eligibility depends on the service type, work performed, committed costs, domain or licence fees, the specific agreement and applicable consumer law. Third-party charges that cannot be recovered may not be refundable.

18. Service and pricing changes

Sherrlinn Network may update services, adjust packages, discontinue services or revise pricing for future orders or billing periods. Existing clients should receive reasonable notice where appropriate for material recurring-service changes.

Changes should not be applied retroactively to completed work or arbitrarily override an agreed project scope. Replacement options may be offered where a service or third-party product is discontinued.

19. Limitation of liability

Nothing in these terms is intended to exclude or limit rights or liabilities that cannot lawfully be excluded under applicable consumer, privacy or other mandatory law.

To the extent permitted by law, Sherrlinn Network should not be liable for indirect or consequential loss arising from third-party outages, client actions, platform suspensions, lost credentials, unsupported systems, client-supplied content or circumstances outside our reasonable control.

Any service-specific liability arrangement may be addressed in the applicable written agreement. Clients remain responsible for evaluating business decisions, maintaining appropriate insurance and backups, and taking reasonable steps to reduce avoidable loss.

20. Events outside reasonable control

Neither party should be treated as failing to perform because of delays or disruption caused by events outside reasonable control, including significant power or network failures, major infrastructure outages, natural disasters, government actions, civil disruption or third-party platform failures.

The affected party should communicate reasonably and resume performance when practical.

21. Privacy and personal information

Personal-information handling is described in the Sherrlinn Network Privacy Policy. The Privacy Policy explains how information may be collected, used, shared, secured and retained.

These terms should be read together with that policy where personal information is involved.

22. Client Portal and communications

Users of portal.sherrlinn.co.za are responsible for maintaining secure credentials and for activity performed through their account. Suspected unauthorised access should be reported promptly.

Business communication may occur by email, WhatsApp, telephone, the Client Portal or another agreed channel. Customers are responsible for providing accurate and current contact details and monitoring the agreed communication channels.

23. Changes to these terms

We may update these terms as services, business practices or legal requirements change. The latest version will display its updated date at the top of the page.

Material changes should not arbitrarily override already agreed project terms. Appropriate notice or agreement may be required where a change affects an existing contractual commitment.

24. Governing law

These terms are governed by the laws of South Africa, subject to applicable consumer, privacy and other mandatory legal rights. Nothing in these terms is intended to prevent a person from relying on rights that cannot lawfully be waived.
